S.V.I.M.A. Constitution and Bylaws

I.                  CONSTITUTION

Preamble

This organization exists for fellowship, for exchange of ideas, for community welfare, for cooperative ministries, for community religious information and spiritual strength.

 

Article I - Name

The name of this organization shall be the "Sonoma Valley Interfaith Ministerial Association."

 

Article II - Membership

Active membership in this organization shall consist of those in positions of spiritual leadership or ministry within Sonoma Valley.

 

Article III - Officers

The officers of this organization shall be a President, a Vice-President, a Secretary and a Treasurer; and one person may hold two offices simultaneously.

 

Article IV - Executive Committee

An Executive Committee, consisting of the President, the Vice-President, Secretary and the Treasurer shall be empowered to act on behalf of the organization between meetings.

 

Article V - Meetings

1)  Regular meetings of this organization shall be held monthly from September through June of each year.

2) Special meetings may be called by the Executive Committee.

 

Article VI - Amendments

This constitution may be amended by a three-fourths majority vote of the active members present and voting at any regular meeting, provided notice of the amendment has been given at the previous regular meeting.

 

II.               BYLAWS

Section 1 - Membership

Members consist of all who have been received by the Organization and who have paid their yearly dues. Members may be received at any meeting. Any questions in reference to qualifications shall be decided by vote of the active members present. All members have active status and voting rights unless they have been absent the last three consecutive regular meetings, unless for good cause prevented. A list of members will be recorded with the November minutes.

 

Section 2 - Dues

There will be annual dues of $25.00 per member, payable by November or when membership is received.

 

Section 3 - Officers

-The President shall be an ex-officio member of all committees and shall conduct all meetings and lead in all the activities of the association.

-The Vice-President or Secretary shall serve as president in the absence of the President and shall keep a record of the regular monthly meetings.

-The Treasurer shall receive and dispense funds at the direction of the association and shall give an accounting of this financial activity at the regular meetings.

 

Section 4 - Elections

Elections shall be held yearly at the June meeting. Notice will be given by mail (including E-mail) of the election date. Candidates shall be nominated from the floor. Election shall be by majority vote of those present and voting.

 

Section 5 - Committees

Committees shall be elected from the floor or appointed by the Executive Committee according to the need.

 

Section 6 - Quorum

A quorum of one-third of this organization's membership is necessary for transaction of business of this organization.

 

Section 7 - Amendments

These bylaws may be amended at any regular meeting by a two-thirds majority vote of the active members present and voting, providing that notice of the amendment has been given at the previous regular meeting.
